The doola Founders Fund – Terms & Conditions

Overview

By entering this Grant Program, participants agree to abide by these Terms & Conditions. Distributed Inc. (“doola,” the “Company,” or the “Grantor”) provides entity formation, tax, and bookkeeping services. The doola Founders Fund (the “Grant” or the “Grant Program”) is designed to support entrepreneurs in their business journey. These Terms and Conditions (the “Terms”) govern the requirements, obligations, restrictions, and rights associated with doola’s grants.

By submitting an application to this Grant Program, you agree to be bound by these Terms.


Eligibility

  • Open worldwide, except where prohibited by law or subject to restrictions.
  • Applicants must be at least 18 years of age.
  • Entry only available to customer starting a new business.
  • Only customers with an active, fully paid annual subscription to one of the following doola plans are eligible:
    • Total Compliance (annual plan)
    • Business-in-a-Box (annual plan)
  • Applicants must have an active subscription (i.e., not paused, suspended, or past due) at the time of both entry and award selection.
  • One entry per customer per Grant period.
  • Employees, officers, and directors of doola or its affiliates, as well as their immediate family members and household members, are not eligible.
  • doola reserves the right to disqualify any entrant who violates these Terms, tampers with the entry process, or engages in conduct that is dishonest, harmful to doola’s reputation, or otherwise disruptive to the administration of the Grant Program.

Entry Process

  • Upon purchasing an eligible subscription, Applicants will receive an entry form via email to complete a Founder’s Questionnaire, which includes questions about:
    • The Founder’s story
    • The business being built
    • Intended use of the $5,000 Grant
    • How the Grant will impact their business
  • Only customers who submit the completed questionnaire before the deadline will be entered into the Grant Program.
  • By submitting an application, the entrant affirms that all information and materials provided are original, truthful, and do not infringe upon the rights of any third party.

Selection Process

  • One (1) winner will be selected from among eligible entries.
  • Entries will be judged by a panel of doola staff, based on the following criteria:
    • Innovation or creativity of the business idea
    • Clarity and persuasiveness of the submission
    • Business feasibility or likelihood of success
    • Potential impact of the grant on the business
  • Each submission will be scored based on the above criteria. The highest scoring application will be selected as the winner.
  • All judging decisions are final and binding.
  • The winner will be selected and notified within one (1) week after the entry period ends.

Grant Award and Fulfillment

  • One (1) winner per grant will receive a $5,000 USD non-dilutive cash grant within ten (10) days of notification and submission of required documents, as outlined below.
  • The grant will be delivered via PayPal or bank transfer, after winner verification and submission of:
    • Tax identification (e.g., FEIN if applicable)
    • Completed W-9 (for U.S. winners) or other tax documentation as required
    • Bank account or PayPal information
  • Grants are non-transferable and cannot be substituted.
  • The grant may not be used to pay for doola services.
  • doola assumes no responsibility for taxes. All federal, state, local, or other taxes are the sole responsibility of the recipient.
  • Past winners are not eligible to win again in future months.

Winner Requirements

  • By accepting the Grant, winners agree to:
    • Be publicly featured in doola’s marketing, including social media, email campaigns, and website content.
    • Participate in promotional activities, such as interviews or providing quotes, images, or videos for marketing.
  • The winner must respond to notification within five (5) business days and submit all required documentation within ten (10) business days of initial contact. Failure to do so may result in disqualification and selection of an alternate winner.
  • Winners grant doola a royalty-free, worldwide, perpetual license to use their name, business name, likeness, story, and questionnaire responses in any promotional or advertising materials.
  • Winners may be asked to approve final content prior to publication, but doola retains editorial discretion.
  • Failure to comply with these requirements may result in forfeiture of the grant and selection of an alternate winner.

General Conditions

  • doola reserves the right to suspend, modify, or cancel the Grant Program at any time for any reason, including fraud, technical issues, or lack of participation.
  • No additional purchase beyond the required subscription is necessary to enter or win.
  • doola is not responsible for:
    • Lost, late, misdirected, or incomplete entries
    • Technical or human error that may occur during entry or judging
    • Inability of a winner to accept or receive the grant
  • By entering, participants grant doola a non-exclusive, royalty-free, worldwide license to use submitted content for marketing and promotional purposes.
  • doola’s decisions on all matters relating to the Grant Program are final and binding.
  • Personal information collected through the application process will be used solely for purposes of administering the Grant Program and in accordance with doola’s Privacy Policy.
  • Receipt of the Grant does not constitute an endorsement by doola of the winner’s business, products, or services.

Limitation of Liability

Each applicant agrees to release and hold harmless doola (Distributed Inc.), its officers, employees, advisors, agents, contractors, and affiliates from any and all liability for:

  • Injury or damages of any kind sustained in connection with participation in the Grant Program
  • Acceptance, use, misuse, or awarding of the grant
  • Any failure by the recipient to achieve desired business outcomes
  • Any tax obligations related to the grant

The grant is provided as-is without warranty or guarantee, express or implied. doola makes no representations as to the tax implications or business impact of receiving the grant.


Disputes / Governing Law

This Grant Program and these Terms are governed by the laws of the State of Delaware, U.S.A., without regard to conflict of law principles.

Any disputes arising from or relating to the Grant Program shall be brought exclusively in the state or federal courts of Delaware, and each participant consents to jurisdiction therein.

Applicants waive the right to claim punitive, incidental, or consequential damages, or attorneys’ fees. Damages, if any, shall be limited to out-of-pocket costs incurred in entering the Grant Program.
